Agape World Small Charity Constitution

 

 

1.     NAME

 

    The charity’s name is Agape World

 

2.     THE PURPOSES OF THE CHARITY ARE:

 

2.1    To facilitate reconciliation between Japanese people and the people and their families who suffered at the hands of Japan before and during World War 2

 

2.2    To educate the Japanese people, in particular young people and students, about the role of Japan before and during World War 2

 

2.3    To bear Christian witness to the Japanese people and others encountered through the work of reconciliation

 

2.4    To facilitate reconciliation between estranged peoples, communities and families

 

3.      TRUSTEES

 

 The charity shall be managed by a committee of trustees appointed at a Trustee’s Meeting.    Trustees are appointed for a term of 3 years and may serve for a further term if re-appointed at the end of that time

 

4.       CARRYING OUT THE PURPOSES

 

 In order to carry out the charitable purposes, the trustees have power to    

           

4.1  raise funds, receive grants and donations

 

4.2  apply funds to the work of the charity

 

4.3  do anything which is lawful and necessary to achieve the purposes

 

5.    TRUSTEE MEETINGS

 

5.1    Trustees must hold at least 3 meetings each year.   At their first meeting, they will elect a chair, treasurer and secretary.  Trustees may act by majority decision

 

 5.2    At least 3 trustees must be present at the meeting to be able to make decisions.   Minutes shall be kept for every meeting

 

 5.3    If trustees have a conflict of interest they must declare it and leave the meeting while this matter is being discussed or decided

 

 5.4    The trustees may appoint additional trustees

 

 5.5    The trustees may make reasonable additional rules to help run the charity. These rules must not conflict this this constitution or the law

 

6.     MONEY AND PROPERTY

 

6.1 Money and property must only be used for the charity’s purposes

 

6.2 Trustees must keep accounts.  The most recent annual accounts can be seen by anyone on request

 

6.3    Trustees cannot receive any money or property from the charity, except refund reasonable out of pocket expenses

 

6.4 Money must be held in the charity’s bank account.  All cheques must be signed by 2 trustees

 

7.      CHANGES TO THE CONSTITUTION

 

Changes to this constitution can be made by the trustees at a formal meeting.   No change can be made that would make the organisation no longer a charity.

 

8.       WINDING UP

 

 Any money or property remaining after payment of debts must be given to a charity with similar purposes to this one

 

9.      SETTING UP THE CHARITY

 

This constitution was adopted on 16th December, 2012 by the trustees.
